Article 1.0: Name The name of the corporation shall be Willmar Area Emergency Amateur Radio Club. Article 2.0: Purpose Our commonly shared interest and purpose is to further the exchange of information, co-operation between members, promote radio knowledge, improve individual operating efficiency, support disaster relief operations, promote sky-warn training & weather watch, assist with civic events, and to so conduct club programs and activities as to advance the general interest and welfare of Amateur Radio in the community. Article 3.0: Exemption Requirements At all times the following shall operate as conditions restricting the operations and activities of the corporation: 1. No part of the net earnings of the corporation shall inure to the benefit of, or be distributable to its members, trustees, officers or other private persons, except that the corporation shall be authorized and empowered to pay reasonable compensation for services rendered and to make payments and distributions in furtherance of the purpose set forth in the purpose clause hereof. No substantial part of the activities of the corporation shall constitute the carrying on of propaganda or otherwise attempting to influence legislation, or any initiative or referendum before the public, and the corporation shall not participate in, or intervene in (including by publication or distribution of statements), any political campaign on behalf of, or in opposition to, any candidate for public office. Notwithstanding any other provisions of this document, the corporation shall not carry on any other activities not permitted to be carried on by an organization exempt from federal income tax under Section 501(c)(3) of the Internal Revenue Code or corresponding section of any future tax code, or by an organization, contributions to which are deductible under section 170(c)(2) of the Internal Revenue Code, or corresponding section of any future tax code. Article 4.0: Duration The duration of the corporation shall be perpetual. Article 5.0: Registered Office The registered office of the corporation shall be at P.O. Box 3115, 213 Lakeland Drive Northeast, Willmar, Minnesota 56201. Article 6.0 Membership All persons interested in amateur radio communication shall be eligible for membership. Full voting membership shall be granted to any person upon payment of club dues and or assessments as described in item two of the by-laws. Full voting family membership shall be granted to any person upon payment of the additional family member dues and meeting the criteria as per the definition of family� found in item two of the by-laws. An associate non-voting membership shall be granted to any person upon receipt of donations or contributions of a lesser amount than specified by the above two membership classifications. Article 7.0 Officers The officers of the club shall be: President, Vice-President, Secretary and Treasurer. The officers of the club shall be elected for a term of one year by ballot of the members present at the July meeting. These officers shall be installed and assume responsibility of their office at the next regularly scheduled meeting. Vacancies occurring between elections shall be filled by a special election at the next regularly scheduled meeting following the occurrence of the vacancy. Any officer may be removed by a three-fourths vote of the members present at any regularly scheduled meeting. Article 8.0 First Officers The first Board of Directors is composed of four persons whose names, addresses and initial terms of office are as follows: President: Benjamin Wussow, Olivia MN 56277 Vice-President: Roy Duininck, Prinsburg, MN 56281 Secretary: Anthony La Patka, Willmar MN 56201 Treasurer: Steven Youngberg, New London MN 56271 Each of the foregoing Directors shall serve until the end of the first annual meeting of the members of the Corporation. Article 9.0: Personal Liability No member of the corporation shall have any personal liability for any obligation of the corporation. Article 10.0: Capital Stock The corporation shall have no capital stock. Article 11.0: Dissolution of the Corporation At any regularly scheduled club meeting, the Corporation may be dissolved by a three-fourths vote of the members present. All property of the Corporation shall be disposed of as described in Article 12.1. Article 12.1: Distribution of Assets Upon Dissolution Upon the dissolution of this corporation, the Board of Directors shall, after paying or making provision for the payment of all of the liabilities of the corporation, dispose of all of the assets of the corporation exclusively for the purposes of the corporation in such manner, or to such organization or organizations organized and operated exclusively for charitable, educational, or scientific purposes as shall at the time qualify as an exempt organization or organizations under Section 501(c)(3) of the Internal Revenue Code (or the corresponding provision of any future United States Internal Revenue Law), as the Board of Directors shall determine. Any such assets not so disposed of shall be disposed of by a court of competent jurisdiction of the county in which the principal office of the corporation is then located, exclusively for such purposes or to such organization or organizations, as said court shall determine which are organized and operated for such purposes. Article 12.0: Bylaws Bylaws shall be adopted containing provisions for the purpose of administering and regulating the affairs of the corporation and shall include provisions establishing the qualifications for membership and the conditions of membership as well as any establishment of classes of members. The current bylaws are provided in Exhibit A. The official, current copy of the bylaws is maintained by the Club Secretary. Item 1 Registered Office: The registered office of the corporation required by the Minnesota Nonprofit Corporation Act to be maintained in the State of Minnesota is as provided and designated in the Articles of Incorporation. The Board of Directors of the corporation may, from time to time, change the location of the registered office pursuant to Section 317.19 of Minnesota Statutes. On or before the day that such change is to become effective, a certification of such change and of the location and post office address of the new registered office shall be filed with the Secretary of State of Minnesota as provided by law. No application for membership shall be rejected by the board of directors except for cause which would be adequate to terminate membership as set forth below. Payment of annual dues shall automatically renew the membership of a member in good standing. Full voting membership shall be granted to any person accepted by the Board of Directors and upon payment of club dues and/or assessments. Full voting family membership shall be granted to any person upon payment of the additional family member dues and meeting the criteria as per the definition of family� found in item ten of the by-laws. An associate non-voting membership shall be granted to any person upon receipt of donations or contributions of a lesser amount than specified by the above two membership classifications. Item 5. Termination of Membership Any member of the club may resign his or her membership at any time. No member shall be expelled from membership except for conduct unbecoming a member or other serious cause. Conduct unbecoming a member is defined as follows: Any act which tends to bring public disgrace or disrepute upon the club. Malicious or grossly negligent damaging or destruction of club property or premises. Misappropriation of club funds or property.� Operation of a radio transmitter in such a manner as to bring disfavor or condemnation on amateur radio or upon this club or to bring legal sanction on the member involved. Actions contrary to the policies or purposes of the club which are continued after the warning. Whenever a charge is made against a member which could result in his or her expulsion from membership, such charge shall be investigated by the Board of Directors. If the Board determines to proceed with the matter, the member involved shall be notified and given the opportunity to appear before the Board or, at the members election, to respond in writing and answer or defend against such charge. After the member has been given reasonable opportunity to appear and defend, the Board of Directors shall act upon the charge and by a majority vote of all members of the Board either reject the charge, continue membership upon state conditions, or expel the member charged. The Board of Directors may, in its discretion, continue in effect the membership of a member who has failed to pay his or her current dues. Item 6. Officers� Duties PRESIDENT: The President shall preside at all meeting of this club and conduct the same according to the rules adopted. He/She shall enforce due observance of this Articles of Incorporation and By-laws, decide all questions of order, sign all official documents that are adopted by the club, and perform all other customary duties pertaining to the office of President. VICE-PRESIDENT: The Vice-President shall assume the duties of the President in the absence of the president, and upon the expiration of the Presidents term or upon the occurrence of their removal or resignation, the Vice-President shall assume full duties of the office of President. SECRETARY: The Secretary shall keep a written record available upon request of the proceedings of all club meetings, keep a roster of members, read communications addressed to the club at meetings and make notice of special meetings or pending Articles of Incorporation or by-laws revision known to each full voting member as deemed necessary by this constitution and by-laws. They shall keep the Articles of Incorporation and by-laws of the club and have a copy available at business meetings. Any amendments, changes and additions to the club By-Laws shall be noted and allowed for review by members upon request. At each regularly scheduled club meeting, an oral report of all club proceedings, business, special meetings and activities occurring since the last report shall be given. At the expiration of their term, all items belonging to the club shall be transferred to their successor. TREASURER: The Treasurer shall receive and receipt all monies paid to the club. They shall be responsible to keep an accurate account of all monies received and expended and shall make the same available for examination by membership upon request. They shall provide a report at each regularly scheduled club meeting, summarizing all monies received and expended since the last report. Payment of expenses by the Treasurer can be made with proper authorization by the club or by its officers constituting a business committee. The Board shall audit financial records annually. Upon completion of a term, the Treasurer shall turn over all items belonging to the club to their successor. Item 7. (Meetings/conducting business/setting dues): The by-laws shall provide for regular and special meetings. At all meetings, business shall be transacted and be enacted by a simple majority of those voting members present. The club, by a simple majority of those voting members present at any regularly scheduled meeting, may levy upon the general membership such dues or assessments as shall be deemed necessary for the business of the club, in so far as this business remains within the objectives of the club as set forth in the preamble. Roberts Rules shall govern proceedings at all meetings. Regular meetings shall be held quarterly or as the President shall order. Quarterly Meetings: January, April, July, and October. (Fourth Tuesday at 18:30). Special meetings may be called by the President upon the written request of any full voting club members. Notice shall be made to full voting members concerning special meetings and/or revision of the constitution or by-laws. Such notices shall describe the business to be transacted and shall be made by the most expedient means at hand with delivery to take place not less than 24 hours before the meeting time. Item 8: Action Without A Meeting: Any action which could be taken at a meeting of the Board of Directors may be taken without a meeting when authorized in writing and signed by all of the directors. Item 9. Adjournment: When any meeting of the members is adjourned to another time or place, notice of the adjournment need not be given other than by announcement at the meeting at which adjournment is taken. Item 10. Dues: An annual dues assessment for each calendar year running from January 1 to December 31, shall be made as follows: Full Voting Membership: $20.00 Full Voting Family Membership: First family member: $20.00 Each additional family member: $2.00 For purposes of defining this membership classification, FAMILY is limited to those persons living under the same roof. Net Coordinator and Officers may receive a $10.00 credit off annual membership due upon written request. Item 11. Fiscal Year: The fiscal year of the corporation shall commence on the first day of every January. Item 12. Committees: Appointed by the President, examples of committees may include: Technical Support, Marketing, Education or other specialty needs that help support the mission and vision of Willmar Area Amateur Radio Club. The development of committees is to help members and the club expand their knowledge and support for the use of amateur radio. In addition, foster positive public relations and provide educational services for persons wishing to become licensed Amateur Radio Operators. To support county Emergency Management as requested as liaison with disaster assistance and support a county Weather Net as activation warrants. Item 13. Public Relations/Club Services: The club, through meetings, Public Relations events, and Operating Committees, will provide technical advice to members concerning equipment design and operation to assist in frequency observance, clean signals, uniform practice and absence of spurious radiation from club member stations. The club shall also maintain a program to foster positive public relations and provide educational services for persons wishing to become licensed Amateur Radio Operators. Item 14. Revision of By-Laws: These By-Laws may be amended by a three-fourths majority of those full voting members present at a regularly scheduled meeting. Proposals for amendments shall be submitted in writing at a regularly scheduled meeting and shall be voted upon at the next regularly scheduled meeting, provided full voting members have been duly notified of said action.
